Terms & Conditions
Last Updated: September 18, 2026 · Effective Immediately
1. Engagement Overview
These Terms and Conditions (“Terms”) govern the provision of digital services, bespoke web development, automation systems, and consulting by INNISHA Digital Studio to the client (“Client”).
By commissioning a project, accepting a proposal, or utilizing our software platforms, the Client agrees to be bound by these Terms in full.
2. Scope of Work & Milestones
All projects are executed pursuant to a written project proposal or statement of work (SOW) defining the exact deliverables, feature requirements, and timeline. Any modifications or feature additions requested outside the agreed SOW will be scoped and quoted as an addendum.
3. Intellectual Property & 100% Code Ownership
Full Ownership Handover: Upon receipt of complete payment for the agreed project scope, INNISHA assigns and transfers 100% of all intellectual property, bespoke source code, database architectures, and digital assets created specifically for the Client to the Client.
There is zero proprietary lock-in, zero hidden recurring licensing fees for custom code, and no restriction on the Client’s ability to modify, host, or transfer their software.
4. Payment Terms & Schedule
Unless mutually agreed otherwise in writing, project commissions follow a transparent milestone schedule:
- Initial Deposit (40% to 50%): Due upon project kickoff to allocate senior engineering resources.
- Staging / Review Milestone (30% to 40%): Due upon deployment to a private staging environment for client review.
- Final Deployment Handover (20%): Due upon final domain DNS deployment, live verification, and delivery of repository ownership.
5. Quality Warranty & Post-Launch Support
We stand firmly behind the quality of our craftsmanship. All bespoke development includes a 30-day post-launch warranty during which any functional defects or bugs deviating from the approved specification will be resolved at zero additional charge.
6. Limitation of Liability
To the maximum extent permitted by applicable law, INNISHA shall not be liable for any indirect, incidental, special, or consequential damages resulting from third-party hosting outages, external API modifications (e.g. Meta, Stripe, Google), or unauthorized modifications made by the Client after delivery.
Our total aggregate liability under any engagement shall not exceed the total fees actually paid by the Client to INNISHA for the specific service giving rise to the claim.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws applicable to commercial software agreements. The parties agree to resolve any dispute through amicable negotiation prior to initiating formal legal proceedings.
